1. The Program

The Collabnb Ambassador Program (the "Program") appoints individuals ("Ambassadors") to promote Collabnb and grow its community of hosts and creators within a defined geographic region (a "Region"). The Program is currently in beta: its structure, commission rates, Regions, and these terms may change as described in Section 12.

2. Eligibility

  • You must be at least 18 years old and legally able to enter into contracts.
  • You must be able to receive payouts via Stripe, Wise, or PayPal in your country of residence.
  • Acceptance into the Program is at Collabnb's sole discretion. Submitting an application does not create any obligation on Collabnb to accept it.

3. Appointment & Territory

  • During the beta, each Region has at most one active Ambassador.
  • Your appointment is non-exclusive: Collabnb may itself market, operate, and sign hosts or creators in your Region at any time.
  • Collabnb may redraw Region boundaries, split, merge, or retire Regions on 30 days' notice. Earnings already accrued are unaffected.

4. Independent Contractor

You are an independent contractor, not an employee, agent, joint venturer, or legal representative of Collabnb. You have no authority to bind Collabnb, sign agreements on its behalf, negotiate fees, or make commitments to hosts or creators. You are responsible for your own taxes, insurance, equipment, and expenses.

5. Commission

  • When a collaboration is completed on Collabnb at a property located in your Region and Collabnb successfully collects its platform fee for that collaboration, you earn a commission calculated on the platform fee actually collected (not on the collaboration's total value).
  • Tier 1: 25% of the platform fee, per completed collaboration.
  • Tier 2: 50% of the platform fee for each completed collaboration beyond the fifth in your Region within a single calendar month. The counter resets monthly.
  • Commissions accrue only on fees actually received by Collabnb. If a fee is refunded, reversed, disputed, or charged back, the related commission is cancelled or deducted from your balance.
  • All amounts are calculated and paid in USD.

6. Payouts

  • Each commission becomes payable 30 days after the collaboration completes (the "clearance window").
  • Cleared balances of $50 or more are paid monthly via Stripe, Wise, or PayPal, at your election where available.
  • Balances under $50 roll over to the following month.
  • You are solely responsible for any taxes on your earnings. Collabnb may require a completed W-9, W-8BEN, or equivalent tax form before releasing payouts, and may withhold where required by law.

7. Your Responsibilities

  • Actively promote Collabnb in your Region in a professional manner consistent with the brand.
  • Disclosure: clearly disclose your material connection to Collabnb in all promotional content (e.g. #ad, #partner) as required by the FTC and any equivalent local advertising rules in your Region.
  • No spam, unsolicited bulk messaging, misleading claims, income guarantees, cookie-stuffing, bidding on Collabnb trademarks in paid search, or self-dealing (e.g. fabricating collabs to generate fees).
  • Comply with all laws applicable to your activities, including data-protection and consumer-protection laws in your Region.

8. Brand Use

Collabnb grants you a limited, revocable, non-transferable license to use its name, logo, and approved marketing materials solely to perform under the Program. You may not register domains, social handles, or business names containing "Collabnb," or present yourself as Collabnb staff, without prior written approval.

9. Confidentiality

Non-public information you receive through the Program — including host pipelines, fee structures, product plans, and performance data — is confidential. Don't share it, and don't use it outside the Program. This obligation survives termination for two years.

10. Data

Any personal data of hosts, creators, or leads you handle in connection with the Program must be handled in line with Collabnb's Privacy Policy and applicable law, and used only for the Program.

11. Term & Termination

  • Either party may end participation with 30 days' written notice (email suffices).
  • Collabnb may terminate immediately for breach of these terms, fraud, brand damage, or unlawful conduct.
  • On termination, commissions already cleared and payable are paid out on the normal schedule. Commissions still inside the clearance window are paid once they clear — unless termination was for cause, in which case unvested commissions are forfeited.

12. Changes to the Program

This is a beta. Collabnb may modify commission rates, tiers, thresholds, Regions, or these terms with 30 days' notice by email. Changes apply prospectively — they never reduce commissions already accrued. Continued participation after the notice period constitutes acceptance.

13. Liability

The Program is provided "as is." To the maximum extent permitted by law, Collabnb's total liability under the Program is capped at the commissions paid to you in the six months preceding the claim. Collabnb is not liable for indirect, incidental, or consequential damages, or lost profits.

14. Governing Law

These terms are governed by the laws of the jurisdiction in which Collabnb is incorporated, without regard to conflict-of-law rules. Disputes will first be attempted to be resolved informally; failing that, in the courts of that jurisdiction.
